Welcome to Ryite Distributors (referred to as "we," "us," or "our"). These Terms and Conditions govern your use of our website www.ryite.co.za (the "Site") and your purchases of plumbing wholesale goods from us. By accessing our Site or placing an order, you agree to be bound by these Terms and Conditions. Please read them carefully.
1. Definitions
- "Business Day" means any day other than a Saturday, Sunday, or public holiday in South Africa.
- "Customer" or "you" means the individual or entity purchasing goods from us.
- "Goods" means the plumbing wholesale products offered for sale by us.
- "Order" means a request by you to purchase Goods from us.
- "Price" means the price of the Goods as displayed on our Site or as quoted to you.
2. Ordering Process
2.1. You may place an Order through our Site or by contacting us directly via phone or email.
2.2. All Orders are subject to acceptance by us. We reserve the right to refuse any Order for any reason, including but not limited1 to the unavailability of Goods, errors in pricing or product information, or suspicion of fraudulent activity.2
2.3. Once we accept your Order, we will issue an order confirmation, which will include details of the Goods, the Price, applicable taxes, delivery charges (if any), and the estimated delivery date. This confirmation constitutes our acceptance of your Order and forms a binding contract between you and us.
2.4. It is your responsibility to ensure that the details provided in your Order are accurate and complete. We will not be liable for any delays or losses arising from incorrect or incomplete information provided by you.
3. Pricing and Payment
3.1. The Prices of the Goods are displayed in South African Rand (ZAR) and are subject to change without notice.
3.2. Unless otherwise stated, Prices exclude Value Added Tax (VAT) and any delivery charges. These will be clearly indicated during the checkout process or as communicated to you.
3.3. Payment for Orders must be made in full at the time of placing the Order, unless otherwise agreed in writing.
3.4. We accept various payment methods as indicated on our Site or as communicated to you.
3.5. In the event of a pricing error, we reserve the right to cancel your Order or contact you to arrange payment of the correct Price.
4. Delivery
4.1. We will make reasonable efforts to deliver the Goods within the estimated timeframe provided in the order confirmation. However, delivery dates are estimates only and are not guaranteed.
4.2. Risk of loss and damage to the Goods passes to you upon delivery.
4.3. You are responsible for ensuring that you or an authorized representative is available to receive the delivery at the specified address. If no one is available to receive the Goods, we may arrange for re-delivery at your expense.
4.4. Delivery charges, if applicable, will be calculated based on the delivery address, the size and weight of the Goods, and the chosen delivery method. These charges will be clearly displayed during the checkout process or communicated to you.
5. Returns and Refunds (Plumbing Wholesale Industry Specific)
5.1. We understand that in the plumbing wholesale industry, returns may be necessary due to various reasons, including incorrect orders, surplus stock, or defects. Our policy aims to be fair and reasonable while considering the nature of our products.
5.2. Incorrect Orders: If you receive Goods that do not match your Order, please notify us within 7 Business Days of receipt. We will arrange for the collection of the incorrect Goods and the delivery of the correct Goods at our expense, provided the incorrect Goods are returned in their original, unused condition and packaging.
5.3. Surplus Stock: Returns of surplus stock may be considered on a case-by-case basis and are subject to our discretion. If we agree to accept a return of surplus stock, it must be within 14 Business Days of delivery and will be subject to a restocking fee of 15% of the original purchase price. The Goods must be in their original, unused, and resalable condition with all original packaging intact.
5.4. Defective Goods:
* We warrant that our Goods are of merchantable quality and reasonably fit for their intended purpose.
* If you believe you have received defective Goods, please notify us in writing within 7 of discovering the defect. You must provide us with details of the defect and, where possible, photographic evidence.
* Depending on the nature of the defect and the manufacturer's warranty (if applicable), we may offer a repair, replacement, or refund.
* Goods that have been misused, mishandled, or improperly installed will not be considered defective. It is the responsibility of the plumber or installer to ensure proper installation according to industry standards and manufacturer guidelines.
* Any claims for consequential loss or damage arising from defective Goods are expressly excluded to the extent permitted by South African law.
5.5. Return Procedure:
* To initiate a return, you must contact us via phone or email to obtain a Return Merchandise Authorization (RMA) number.
* Goods returned without an RMA number will not be accepted.
* You are responsible for arranging and paying for the return shipping of surplus stock. For incorrect or defective Goods (where we accept liability), we will arrange and cover the cost of return shipping.
* Returned Goods must be securely packaged to prevent damage during transit.
5.6. Refunds:
* Once we have received and inspected the returned Goods, we will notify you of the approval or rejection of your refund.
* If your refund is approved, it will be processed within 10 Business Days** and credited back to the original payment method.
* Please note that original delivery charges are non-refundable unless the Goods were faulty or incorrectly supplied.
6. Product Information and Advice
6.1. We strive to provide accurate and up-to-date information about our Goods on our Site and in our communications. However, we do not warrant that product descriptions, specifications, or other content are error-free.
6.2. Any advice or recommendations provided by our staff regarding the suitability or application of our Goods are based on general industry knowledge and experience. It is your responsibility to ensure that the Goods you order are appropriate for your specific needs and comply with all relevant South African standards and regulations. We recommend consulting with a qualified professional for specific technical advice.
7. Intellectual Property
7.1. All content on our Site, including but not limited to text, graphics, logos, images, and software, is3 our property or the property of our licensors4 and is protected by South African and international copyright laws.
7.2. You may not reproduce, distribute, modify, display, or otherwise use any content from our Site without our prior written consent.5
8. Limitation of Liability
8.1. To the maximum extent permitted by South African law, our liability for any loss or damage arising out of or in connection with your use of our Site or your purchase of Goods from us shall be limited to the purchase price of the Goods in question.
8.2. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or use, arising6 from or related to your use of our Site or the Goods, even if we have been advised of the possibility of such damages.
8.3. Nothing in these Terms and Conditions shall exclude or limit our liability for death or personal injury caused by our negligence,7 or for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded8 or limited under South African law.
9. Warranty Disclaimer
9.1. To the extent permitted by South African law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability and fitness for9 a particular purpose, other than those10 expressly stated in these Terms and Conditions or provided by the manufacturer.
9.2. Manufacturer warranties, if applicable, will be provided with the Goods. You are responsible for understanding and complying with the terms of any such warranties.
10. Governing Law and Jurisdiction
10.1. These Terms and Conditions shall be governed by and construed in accordance with the11 laws of the Republic of South Africa.12
10.2. Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of South Africa.13
11. Amendments
11.1. We reserve the right to amend these Terms and Conditions at any time without prior notice. Any changes will be effective immediately upon posting14 on our Site. Your continued use of our Site or15 placement of Orders after the posting of revised Terms and Conditions constitutes your acceptance of the changes.
12. Entire Agreement
12.1. These Terms and Conditions constitute the entire agreement between you and us with respect to the16 subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether17 oral or written.
